Agreement.

This Merchant/Seller Agreement governs the relationship between PikiaMarket, Inc. (“PikiaMarket”) and the business or individual accepting these terms (“Vendor”).
1. Acceptance; Scope
By registering as a Vendor, listing products, or fulfilling orders via PikiaMarket’s website/app/platform (“Platform”), Vendor agrees to these Vendor Terms (“Agreement”). If Vendor is accepting on behalf of an entity, Vendor represents it has authority to bind that entity.
2. Platform Role; No Agency
PikiaMarket provides a marketplace and related services (e.g., payment facilitation, marketing, logistics coordination where offered). Vendor sells products to customers. Vendor is an independent business and not our agent, partner, joint venturer, employee, or franchisee.
3. Vendor Eligibility and Onboarding
4. Product Listings & Accuracy
Vendor is responsible for all listing content (photos, ingredients, allergens, labeling, claims, instructions, warnings). Vendor must ensure listings are accurate, not misleading, and comply with applicable laws (including FTC advertising rules and FDA/USDA requirements where relevant). Vendor will not list illegal, unsafe, counterfeit, recalled, or restricted items.
5. Food & Safety Compliance
- Products are safe, fit for consumption, and properly packaged.
- Comply with federal/state/local laws (labeling, temperature controls).
- Not expired, adulterated, or misbranded.
- Complete recall/lot tracking maintained.
6. Orders & Fulfillment
Vendor must meet stated fulfillment SLAs, packing requirements, and quality standards. PikiaMarket may pause listings for repeated late fulfillment, cancellations, or poor quality.
7. Pricing & Fees
Vendor sets product prices. PikiaMarket may charge commissions, service fees, payment processing, and marketing fees as shown in the dashboard. Promotion funding responsibilities will be specified per campaign.
8. Payments & Chargebacks
PikiaMarket collects customer payments and remits proceeds per payout schedule. We may withhold or claw back amounts for refunds, chargebacks, fraud, or unresolved disputes.
9. Taxes
Vendor is responsible for income, payroll, and business taxes. Sales tax handling follows Platform configuration; Vendor must provide required tax forms.
10. Returns & Customer Service
Vendor follows PikiaMarket’s return policy. Perishables may be refunded for quality or safety issues. Vendor must provide documentation (photos, lot codes) when requested.
11. Recalls & Incidents
Immediate notification to PikiaMarket is required for recalls or regulatory inquiries. Vendor supports recall execution and bears all costs caused by Vendor’s products.
12. Insurance
Vendor maintains $1,000,000 per occurrence / $2,000,000 aggregate Commercial General Liability. Certificates must name PikiaMarket as Additional Insured upon request.
13-21. General Provisions
13. IP: Vendor grants PikiaMarket a license to use content for marketing.
14. Data: Compliance with privacy laws required; no selling of customer data.
16. Indemnity: Vendor defends PikiaMarket against claims arising from products or negligence.
18. Liability: Total liability capped at fees paid in the previous 3 months.
20. Disputes: Binding arbitration in [Delaware/New York]. Opt-out via SUPPORT@PIKIAMARKET.COM within 30 days.
